Terms of Service

1. Acceptance of Terms

By accessing or using LocateGuard (the "Service"), operated by Sawtooth Analytics ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service constitutes acceptance of any changes.

2. Description of Service

LocateGuard is an AI-powered 811 dig ticket analysis and augmented reality utility-locating tool. The Service includes ticket upload and parsing, AI-powered risk analysis, AR flag placement, GPS-based mapping via ArcGIS, PDF report generation, and related features accessible through our web and mobile applications.

3. Account Responsibilities

You are responsible for maintaining the security of your account, including the email address associated with your magic-link authentication. You agree to provide accurate information, not share account access with unauthorized users, notify us immediately of any unauthorized access, and accept responsibility for all activity under your account.

4. Subscription and Payment

The Service is offered through a subscription plan (currently $49 per month for the Pro plan). Payment is processed by Stripe. Subscriptions automatically renew each billing cycle unless canceled. Prices are subject to change with notice. No refunds are provided for partial billing periods. You are responsible for any applicable taxes.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with the Service's operation or security
• Scrape, data-mine, or otherwise extract data from the Service in bulk
• Sublicense, resell, or redistribute the Service without authorization
• Upload malicious content or attempt to compromise our systems

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• SAWTOOTH ANALYTICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
• IN NO EVENT SHALL SAWTOOTH ANALYTICS BE LIABLE FOR ANY UNDERGROUND UTILITY STRIKES, PROPERTY DAMAGE, PERSONAL INJURY, DEATH, INACCURATE AI ANALYSIS, GPS POSITIONING ERRORS, MISSING OR UNMARKED UTILITIES, OR ANY OTHER DAMAGES ARISING FROM EXCAVATION OR GROUND-DISTURBING ACTIVITIES.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. SAWTOOTH ANALYTICS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sawtooth Analytics, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any excavation or ground-disturbing activity you perform, regardless of whether you relied on information from the Service; (d) your violation of any law or the rights of any third party; or (e) any claim made by a third party related to your use of the Service.

10. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, algorithms, designs, text, graphics, logos, and trademarks — are the exclusive property of Sawtooth Analytics and are protected by intellectual property laws. You retain ownership of any dig ticket data you upload. By uploading data, you grant us a limited license to process and analyze it for the purpose of providing the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service immediately ceases. Sections regarding liability, disclaimers, indemnification, and governing law survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Ada County, Idaho.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Sawtooth Analytics regarding the use of the Service and supersede all prior agreements and understandings.
